1. Acceptance of these Terms
Minzani is operated by Prolearnerz Solutions ("Minzani", "we", "us"). By creating a business account or using Minzani in any way, you agree to these Terms on behalf of yourself and, if you're signing up a business, on behalf of that business. If you don't agree, don't use Minzani.
2. What Minzani is — and isn't
Minzani is a single-entry cash-book, budgeting, and audit-trail tool: you record money in and money out, track it against a budget, and produce reports. It is not double-entry accounting software, not a licensed accounting, audit, tax, or investment advisory service, and nothing in Minzani constitutes professional financial or legal advice. If your business needs a statutory audit, chart of accounts, or tax filing, that's work for a qualified accountant — Minzani can hand them clean records, not replace them.
3. Accounts, roles, and your business
A Minzani account belongs to a person, and that person is a member of one or more businesses with a specific role — Owner/Admin, Bookkeeper, or Viewer — each with different permissions inside that business. Whoever creates a business account is its first Owner/Admin and is responsible for who else they invite and what role they give them. You're responsible for keeping your login credentials to yourself and for anything done under your account — tell us straight away if you think someone else has access to it.
4. One business's data is never another's
Every business's ledger, budget, categories, team, and documents are isolated from every other business on Minzani — there is no shared view across businesses. The one exception is our own platform administrators, whose access is described in our Privacy Policy.
5. Ledger entries and the audit trail
A ledger entry can never be deleted, by anyone, including an Owner/Admin. It can be corrected — by the person who recorded it, or an Owner/Admin — but only while its month is still open for entries, and every correction is recorded in the Activity Log with exactly what changed, from what to what, and by whom. Once a month is locked for good, nothing in it can change again. This is deliberate: it's what makes your books a record you can actually hand to a bank or an external auditor — not because nothing was ever fixed, but because every fix is on the record.
6. Subscription plans
Every new business starts on a free 2-month trial — full access, no payment details needed. After the trial, a business can move to Pro, billed monthly or yearly (yearly at a flat 5% discount off the monthly rate × 12), in Ugandan Shillings (UGX). There's no separate feature tier between Free and Pro — Pro simply means the trial or last payment hasn't lapsed. If access lapses, the business gets a 7-day read-only grace period (view everything, add or change nothing) before it's fully locked until renewed.
7. Payments
Subscription payments are processed by Pesapal, a licensed Ugandan payment gateway — we never see or store your card number or mobile money PIN. A Pro subscription is a one-time payment per billing period, not an auto-renewing charge: nothing is billed automatically when a period ends, and you (or your business's Owner/Admin) choose when to pay again to extend access. Pesapal is used only to collect Minzani's own subscription fee — never to process payments on behalf of your business or its customers.
8. Acceptable use
Use Minzani only for lawful business record-keeping. Don't try to access another business's data, probe or bypass the platform's security or tenant isolation, upload malicious files, use the service to launder money or record fraudulent transactions, or resell or white-label Minzani without our written agreement. We can suspend or terminate an account that violates this section.
9. Service availability
We aim to keep Minzani available and responsive, including on a low-end phone over a patchy connection, but we don't guarantee uninterrupted access — maintenance, connectivity issues, or circumstances outside our control can cause downtime. Keep your own copies of anything critical (exported PDFs/Excel reports are built for exactly this) rather than treating Minzani as your only record.
10. Termination and closing your account
You can stop using Minzani at any time; a business's data is retained for as long as the account is active, and for a reasonable period after closure to satisfy the record-keeping obligations described in our Privacy Policy. To close a business account or request deletion of its data, contact us at support@prolearnerz.com (our parent company's address, not a typo). We may suspend or terminate an account for a serious or repeated violation of these Terms, or for non-payment beyond the grace period described in Section 6.
11. Limitation of liability
Minzani is provided "as is." To the extent permitted by Ugandan law, Prolearnerz Solutions isn't liable for indirect, incidental, or consequential losses arising from your use of the service, including business decisions made on the basis of records you or your team entered. Nothing in these Terms limits liability that can't be limited under applicable law.
12. Intellectual property
The Minzani name, design, and underlying software belong to Prolearnerz Solutions. Your business's own ledger entries, budgets, and uploaded documents belong to you — using Minzani doesn't transfer ownership of your data to us; we hold it as a service provider, as described in our Privacy Policy.
13. Changes to these Terms
We may update these Terms as Minzani changes. Material changes will be announced in-app or by email where we have one on file. Continuing to use Minzani after a change takes effect means you accept the updated Terms.
14. Governing law
These Terms are governed by the laws of the Republic of Uganda, and any dispute arising from them falls under the jurisdiction of Ugandan courts.
